Delaware Registered Agent Services
Every Delaware corporation and every Delaware limited liability company is required by state law to have a registered office and a registered agent located in Delaware. When the State sends out notices or annual franchise tax documents, they are delivered to your registered agent's office. If your company is sued for any reason, the lawsuit papers are delivered to your registered office.
A recent change in the law requires all Delaware corporations and LLC's to file their annual franchise tax reports and pay the franchise tax online. The deadline for making these filings and payments is March 1st for corporations, and June 1st for LLC's.
Every corporation and limited liability company is required to provide to its registered agent the name, business address and business telephone number of a natural person who is an officer, director, employee, or designated agent of the corporation, who is then authorized to receive communications from the registered agent. Such person shall be deemed the communications contact for the corporation. Every registered agent shall retain (in paper or electronic form) the above information concerning the current communications contact for each corporation for which he serves as a registered agent. If the corporation fails to provide the registered agent with a current communications contact, the registered agent may resign as the corporation's registered agent.

If you're already incorporated in Delaware and you'd like to change your registered agent, the procedure is very easy.
- Fill out a document called "Certificate of Change of Registered Agent and/or Agent Address"
Line 1: insert the name of your corporation
Line 2: insert the day of the month
Line 3: insert the month
Last paragraph: insert the day and the month - Sign your name, print your name under the signature line and insert your title (for example, director, president, secretary, etc.)
- Include a cover letter with your name, address and telephone/fax number
- Also include a check for $104 payable to "Delaware Secretary of State"
